1. Introduction & Acceptance of Terms

Welcome to PayFlowz (“Platform”), accessible via payflowz.xyz. These Terms & Conditions (“Terms”) govern your use of our billing and payment processing services (“Services”). Whether you’re acting as a merchant or as a customer using our Services, by accessing or using PayFlowz, you agree to be bound by these Terms. If you do not agree with any provision, please discontinue your use of our Platform.

2. Definitions

  • Merchant: A user who registers with PayFlowz to accept payments.
  • Customer: An individual who makes payments through the Platform.
  • Services: All payment, billing, invoicing, and related services offered by PayFlowz.
  • Fees: Charges levied by PayFlowz for provision of Services.

These definitions clarify responsibilities and streamline contractual obligations.

3. Scope of Services

PayFlowz is a payment infrastructure provider that enables financial transactions between Merchants and their Customers. We do not sell goods or services ourselves and are not party to merchant-customer disputes related to products or services. All such issues must be resolved directly between Merchant and Customer.

Your use of the Platform is subject to compliance with all relevant laws and regulations, including those set by the RBI, NPCI, and any card network rules (e.g., Visa, Mastercard, AMEX) Wikipedia+2Wikipedia+2Stripe.

4. Registration & Account Usage

To access Services, Merchants must register and provide complete, accurate information. You are responsible for safeguarding your account credentials and any activity conducted under your account. Promptly notify PayFlowz of any unauthorized access or security breach. We may suspend or terminate accounts suspected of misuse.

Merchants must comply with PCI-DSS compliance, data storage restrictions, and RBI guidelines, particularly around not storing sensitive cardholder data ccavenue.comeatOS.com.

5. Fees, Billing, and Payments

  • 5.1 Fee Structure: Fees, such as per-transaction charges, monthly subscription fees, chargeback fees, and refund fees, are transparent and accessible—either within these Terms or on the Dashboard indicpay.comStripe.
  • 5.2 Billing: Fees are billed periodically or transaction-wise, with applicable taxes added. You authorize PayFlowz to deduct fees automatically.
  • 5.3 Payment Methods: PayFlowz supports methods such as UPI, cards, net banking, wallets, and others. Costs associated with certain methods may vary and will be communicated clearly.
  • 5.4 Updates: PayFlowz may revise fees, with prior notice. Continued usage of Services implies consent to new fees.

6. International Transactions & Foreign Currency Handling

Transactions involving foreign currency or cross-border processing may incur additional currency conversion charges or exchange rate adjustments. Any such charges will be transparently communicated during transaction initiation.

7. Security & Compliance

PayFlowz adopts industry security standards—such as PCI-DSS compliance, encryption, and secure infrastructure—to protect data. However, no system is infallible. Merchants must also implement secure integrations (e.g., tokenization) and adhere to compliance obligations.

You agree not to store prohibited payment data, and comply with Anti-Money Laundering (AML) and Know Your Customer (KYC) norms as mandated by the RBI and other regulatory bodies ccavenue.compaysharp.in.

8. Transaction Disputes, Chargebacks & Refunds

  • Dispute Window: Customers may initiate disputes per applicable card association rules (e.g., within 180 days) qpayindia.com.
  • Merchant Response: Merchants must respond within specified timeframes (commonly 5 days), either with refund requests or evidence disputing the claim qpayindia.com.
  • Chargebacks: If disputes are upheld, PayFlowz may reverse funds and recoup via your settlement, security deposit, or future payouts qpayindia.com.
  • Refunds: Merchants can issue refunds via their Dashboard, subject to fee deductions and applicable policies indicpay.com.

9. Limitation of Liability

To the fullest extent permitted by law, PayFlowz and its staff are not liable for:

  • Indirect, incidental, special, or consequential damages.
  • Lost revenue, opportunities, or data.
  • Failures arising from third-party systems or network outages.
  • Unauthorized access or data breaches outside our direct fault.
  • Merchant-Customer disputes or outcomes of failed transactions.

Liability exclusions do not apply in cases of gross negligence, fraud, personal injury, or statutory liability.

10. Indemnification

Merchants agree to indemnify and hold harmless PayFlowz and affiliates against all claims, damages, losses, and expenses, including legal fees, arising from:

  • Your breach of these Terms.
  • Misuse of the Services.
  • Violation of law or regulatory requirements.
  • Disputes or fraud involving transactions.

This indemnity survives account termination.

11. Dispute Resolution & Governing Law

Any disputes under these Terms should first be attempted to resolve amicably. Failing that, disputes may be resolved via arbitration or legal proceedings in the jurisdiction where PayFlowz is registered, under applicable law. This ensures clarity around resolution pathways.

12. Termination & Suspension

PayFlowz may suspend or terminate access immediately if you:

  • Violate these Terms.
  • Engage in fraudulent or non-compliant behavior.
  • Fail to pay due Fees.

On termination, Services cease immediately. Outstanding Fees remain payable. We may also terminate Services for convenience with notice.

13. Intellectual Property

All intellectual property—logos, branding, UI, documentation—belongs exclusively to PayFlowz. You may not reproduce or use these assets without prior written approval.

14. Privacy & Data Protection

Your use of Services involves collection and processing of personal data per our Privacy Policy. We comply with applicable data protection regulations (e.g., DPDP Act 2023, GDPR). We use data for service provision, improvement, and legal compliance.

15. Amendments to Terms

PayFlowz may modify these Terms. Updated versions post on our website with a new “Last Updated” date. Continued use implies acceptance of changes.

16. General Provisions

  • These Terms represent the complete agreement between you and PayFlowz.
  • Invalid provisions do not impact the remainder.
  • Failure to enforce rights does not waive them.
